Effective Date: August 15, 2026

Last Updated: August 15, 2026

1. AGREEMENT TO THESE TERMS

These Terms of Use ("Terms") are a binding agreement between you and Victory MH Consulting LLC ("Victory MH Consulting," "we," "us," or "our") governing your enrollment in and use of the Insurance Credentialing & Enrollment Course (the "Course"), including all videos, slides, worksheets, templates, checklists, and other materials provided with it (the "Materials").

By purchasing, enrolling in, or accessing the Course, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not enroll.

Please read Section 8, Section 9, and Section 13 carefully. They describe important limitations on what the Course is and what we are responsible for.

2. WHO MAY ENROLL

To enroll you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

The Course is designed for licensed mental health professionals, pre-licensure clinicians, practice owners, and practice administrators. You do not need to hold a license to purchase it, but the Materials assume a professional context.

3. YOUR ACCESS TO THE COURSE

When your payment is complete, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Course and Materials for your own professional purposes.

Access period: You will have access to the Course for 12 months from the date of purchase.

Your login is for you alone. You may not share your account credentials, allow another person to use your access, or enroll on behalf of someone who has not paid.

If you purchased access for a group practice, each individual who will use the Course must have their own enrollment unless we have agreed otherwise in writing.

4. PAYMENT AND REFUNDS

4.1 Payment

All prices are listed in U.S. dollars. Payment is due in full at the time of enrollment unless a payment plan is offered and accepted. You are responsible for any taxes that apply to your purchase.

4.2 All sales are final

The Course is a digital product delivered immediately upon purchase. All sales are final, and we do not offer refunds, exchanges, or credits, in whole or in part, for any reason, including but not limited to change of mind, failure to complete the Course, dissatisfaction with the outcome of any credentialing application, or lack of time to use the Materials.

By enrolling, you acknowledge that you receive immediate access to downloadable materials and that you waive any right to cancel or withdraw that might otherwise apply.

We encourage you to review the Course description, curriculum, and these Terms carefully before purchasing, and to contact us at [email protected] with any questions before you enroll.

4.3 Chargebacks

Initiating a chargeback or payment dispute for a completed purchase is a violation of these Terms. We reserve the right to revoke your access to the Course and to pursue recovery of amounts owed, including reasonable costs of collection.

5. INTELLECTUAL PROPERTY

All Course content, including videos, narration, slides, written material, worksheets, templates, sample letters, trackers, checklists, cheat sheets, graphics, and course structure, is the property of Victory MH Consulting LLC or its licensors and is protected by copyright and other intellectual property laws.

Nothing in these Terms transfers ownership of any Materials to you.

6. WHAT YOU MAY AND MAY NOT DO WITH THE MATERIALS

6.1 What you may do

- Apply what you learn in your professional work without restriction

6.2 What you may not do

You may not:

- Share, sell, license, rent, distribute, publish, or transfer the Materials to any third party

- Post the Materials, in whole or in part, to any website, file-sharing service, social platform, cloud folder, or group that is accessible to people who have not enrolled

- Record, screen-capture, download, or reproduce the Course videos or narration

- Share your login credentials or allow anyone else to access the Course through your account

- Use the Materials to create, teach, or market a competing course, training, workshop, or program

- Use the Materials as part of a paid consulting or credentialing service you offer to third parties, without our prior written permission

- Remove, obscure, or alter any copyright, trademark, or other proprietary notice

- Use the Materials, in whole or in part, to train, fine-tune, or develop any artificial intelligence or machine learning system

6.3 Consequences

Violating this section is a material breach of these Terms. We may revoke your access immediately and without refund, and we may pursue any legal remedy available to us.

7. YOUR ACCOUNT AND CONDUCT

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you believe your account has been accessed without your permission.

You agree not to interfere with the operation of the Course platform, attempt to gain unauthorized access to any part of it, or use it in any way that violates applicable law.

Do not send us client or patient information. The Course does not involve the handling of protected health information, and you should not include client names, records, or identifying details in any question, comment, or support request. See our Privacy Policy.

8. EDUCATIONAL PURPOSE ONLY, NO PROFESSIONAL ADVICE

The Course provides general, educational information about insurance credentialing and provider enrollment. It is not legal, tax, accounting, financial, compliance, or business advice, and it is not a substitute for advice from a qualified professional who knows your specific circumstances.

8.1 Requirements vary by state and change over time

Credentialing and enrollment requirements differ from state to state and are subject to change without notice. Licensing boards, Secretary of State offices, Medicaid programs, professional entity rules, and payer processes are not uniform across the country, and what applies in one state may not apply in yours.

You are responsible for verifying all requirements with the relevant authority in your own state before acting on anything taught in this Course.

8.2 Business structure and taxes

The Course discusses sole proprietorships, LLCs, PLLCs, S-Corporations, and other entity types, and it discusses how those structures are treated for tax purposes. Choosing a business structure has legal and tax consequences that depend on your state, your license, your income, and your goals.

Consult a licensed attorney and a qualified tax professional before forming or changing your business entity. Any discussion of taxation in this Course is general and illustrative only.

8.3 Reimbursement and rate calculations

Any rates, multipliers, formulas, or dollar figures in the Course are illustrative examples used to teach a method. They are not quotes, guarantees, or representations of what any payer will pay you.

8.4 No professional relationship

No attorney-client, accountant-client, or consultant-client relationship is created by your enrollment in the Course, by your use of the Materials, or by any communication with us about Course content. Enrolling in the Course does not engage Victory MH Consulting LLC to perform credentialing, billing, or consulting services on your behalf. Those are separate services governed by a separate written agreement.

9. NO GUARANTEE OF RESULTS

Credentialing and enrollment outcomes depend on factors outside our control, including payer discretion, panel capacity, your professional history, your documentation, your state, and the accuracy and timeliness of your own submissions.

We make no guarantee, representation, or warranty that you will:

- Be accepted onto any insurance panel

- Complete credentialing within any particular timeframe

- Receive any particular reimbursement rate

- Have any application approved

- Achieve any specific financial or business result

Timelines described in the Course are general observations and are not commitments. Payer processes change frequently and without notice.

10. NO AFFILIATION WITH THIRD PARTIES

The Course refers to third-party organizations, systems, and companies for educational and identification purposes only. These include, without limitation, CAQH and DataSpring, the Provider Data Portal, NPPES, CMS, Medicare, PECOS, state Medicaid programs, Aetna, Blue Cross Blue Shield, Cigna, UnitedHealthcare, Optum, Ambetter, and any credentialing software mentioned.

Victory MH Consulting LLC is not affiliated with, endorsed by, sponsored by, or in any way officially connected with any of these organizations. All trademarks and registered trademarks are the property of their respective owners. References to them do not imply any relationship, partnership, or endorsement in either direction.

11. ACCURACY AND UPDATES

Credentialing requirements, payer processes, portal names, forms, contact information, and reimbursement structures change regularly. The Materials reflect our understanding at the time they were produced.

We make reasonable efforts to keep the Course current and to notify enrolled students of material corrections, but we do not warrant that all content is complete, current, or error-free at any given moment. Always verify current requirements directly with the payer, agency, or portal involved.

We may update, revise, add to, or remove Course content at any time.

12. THIRD-PARTY LINKS AND RESOURCES

The Course links to external websites, portals, and forms operated by others. We provide these for convenience. We do not control them, we are not responsible for their content, availability, accuracy, or practices, and a link does not imply endorsement.

13. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

13.1 Disclaimer of warranties

The Course and Materials are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Course will be uninterrupted, error-free, or continuously available.

13.2 Limitation of liability

To the fullest extent permitted by law, Victory MH Consulting LLC and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, arising out of or relating to the Course or these Terms, whether based in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

In any event, our total aggregate liability arising out of or relating to the Course or these Terms will not exceed the amount you actually paid for the Course.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In those cases our liability is limited to the greatest extent permitted by law.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Victory MH Consulting LLC and its owners, officers, employees, and contractors from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Course or Materials, your violation of these Terms, your violation of any law or third-party right, or any business, legal, tax, or clinical decision you make.

15. TERMINATION

We may suspend or terminate your access to the Course at any time, without refund, if you violate these Terms.

You may stop using the Course at any time. Termination does not entitle you to a refund. Sections 5, 6, 8, 9, 10, 13, 14, and 16 survive termination.

16. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Course will be brought exclusively in the state or federal courts located in Wayne County, Michigan, and you consent to the personal jurisdiction of those courts.

17. GENERAL

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Course, and supersede any prior understanding.

Severability. If any provision is found unenforceable, the rest remains in full effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Changes to these Terms. We may revise these Terms at any time. We will update the "Last Updated" date, and for material changes we will notify enrolled students by email. Continued use of the Course after changes take effect means you accept the revised Terms.
